1. Agreement and who may use Jeani
These terms are the agreement between you and Jeani AI, ABN 72 238 565 706, the Australian business that operates Jeani. In these terms, we and us mean Jeani AI, and Jeani or the service means the web app, the Jeani API and this site.
You accept these terms when you create an account or use the service. If you do not accept them, do not use Jeani. The version in force is always the one published here, and its version and date are at the top of this page. The sign-up form does not yet ask you to tick a box, and we do not yet record which version you accepted.
Jeani is built for business use. You may use it if you are at least 18 years old and you are using it for a business, trade or profession. If you accept these terms on behalf of an organisation, you confirm you are authorised to bind it. You then means that organisation, and these terms cover everyone who uses its account.
Some things described on this site are not built yet. Credit purchases, automatic monthly credit grants, self-service plan changes, self-service account deletion, pausing a job when credits run out, and the automatic deletion of originals after a retention period are all planned rather than working. Section 7 lists them, and each section below says what happens in the meantime.
2. Accounts, workspaces and roles
Your account
Opening an account takes an email address, a password or a Google account, your name and a name for your organisation. Keep your password, your Google account and any API keys secret. You are responsible for what is done through your account by the people you invite and by any key you issue, except to the extent the use was caused by our breach of these terms or our negligence.
Tell us as soon as you become aware of unauthorised use — email hello@jeani.ai. We will revoke the affected credential, and where the unauthorised use was caused by a failure on our side we will credit back the credits it spent.
Resetting a password and removing a member both revoke every sign-in session for that user at once. A sign-in token already issued keeps working until it expires, which is at most fifteen minutes, so treat removal as taking full effect within fifteen minutes. Revoking an API key takes effect immediately, because every request checks the key.
Workspaces
An account holds workspaces, and a workspace holds projects and images. Data is scoped to your account: a member of one account cannot read another one. A member can also be granted a narrower role inside a single workspace, which is how an agency gives a contractor one client. A workspace grant can only narrow an account role, never widen it.
Roles
There are five roles. Each one includes everything the role below it can do.
| Role | What it can do |
|---|---|
| Viewer | Read the account, its workspaces and its projects. |
| Reviewer | Everything a viewer can do, plus approve results, flag ones that need a second look, and restore originals. Re-running an image needs the editor role, because it spends credits. |
| Editor | Everything a reviewer can do, plus create projects, upload images, edit recipes, start, pause and cancel jobs, create exports and use connected integrations. Starting a processing run spends credits; a dry run does not. |
| Admin | Everything an editor can do, plus create and manage workspaces, delete projects, manage members, API keys and integration connections, and read the audit log. |
| Owner | Everything an admin can do, plus account settings and billing. |
An account must always keep at least one owner. The last owner cannot be demoted or removed, and only an owner can add, promote, demote or remove another owner.
Invitations
Invitations are single-use links that expire seven days after they are sent. The role is fixed when the invitation is created. An invitation can only be accepted by a signed-in user whose email address is the one it was sent to. The link is emailed to the invitee and shown once to whoever sent it, so it can be passed on by hand if the email does not arrive.
Member and workspace counts are capped by your plan. The Free plan allows one member, so a free account cannot invite anyone.
3. The service and credits
Jeani analyses a product catalogue, plans the work each image needs, runs it, and inspects the result. Credits are the unit of charging, and each operation on one image costs the number of credits in the table below. Most cost one credit; generative work costs more.
What costs credits
| Operation | Credits per image |
|---|---|
| Catalogue analysis | 0 |
| Inspection | 0 |
| Product positioning | 1 |
| Basic enhancement | 1 |
| Background removal | 1 |
| Upscale / restoration | 2 |
| Background generation | 3 |
| Lifestyle generation | 10 |
Catalogue analysis is free, and QA inspection is free and is added to every plan of work automatically. The report from an analysis is yours whether or not you carry on.
Credits are charged only for operations that actually run. When analysis shows an operation is unnecessary, it is left out of the plan and never charged. An image whose background is already clean is not charged for background removal, and an image that is already sharp enough is not charged for enhancement.
Each attempt on an image is charged, and an attempt is charged in full: if inspection sends an image back, the whole plan for that image is run and charged again, not only the step that fell short. Inspection sends an image back when its overall score is below your pass threshold or its product-match score is below your floor. Both, and the number of automatic attempts, are yours to set in the recipe. The defaults are a pass threshold of 85, a product-match floor of 90 and up to 3 attempts; the thresholds can be set between 50 and 100, and attempts between 1 and 5.
If an operation fails, or produces a result you cannot use, because of a defect in Jeani or a failure of a provider we use, tell us and we will credit back the credits it spent. That is separate from the release of an unused reservation described below, which happens automatically.
Dry runs
A dry run is free. It samples up to ten images from the project and runs the real recipe over them, and none of that work is charged: no credits are deducted, nothing is reserved, and you do not need a credit balance to start one. We do not cap how many you may take, subject to the fair use rules in Section 6, so you can test a recipe, change it and test it again for nothing. The results are yours whether or not you go on to process the catalogue. Only a processing run over the catalogue costs credits.
Estimates and what you are actually charged
Before a processing run starts, Jeani shows an expected cost and a worst-case figure. A dry run has no estimate to show, because it is free. The worst case adds ten per cent of the expected cost for each extra automatic attempt your recipe allows — with the default of three attempts, twenty per cent above the expected cost. That figure assumes only a small share of images need a second attempt; it is a projection, not a limit on what you can be charged. The same planner produces the estimate and drives the work, so when nothing has to be retried the estimate is what you pay.
A processing run cannot start if your balance is short: Jeani refuses it and tells you what is required and what is available. A dry run is never refused on balance, because it costs nothing. That check happens once, before the job starts, and it is made against the expected cost. Nothing checks your balance again while the job runs, and there is no cap on what a running job may spend. Each automatic retry of an image is charged its whole plan again, so a job with many retries can spend well beyond both the expected cost and the worst case shown on the estimate, and it will run to the end rather than stopping — your balance can go below zero. Pausing a job when the credits run out is in our data model but is not wired up, so do not rely on it. If a job takes your balance below zero, tell us at hello@jeani.ai and we will put it right.
Your credit ledger
Every movement is recorded in an append-only ledger, and your balance is the sum of it. Rows are never edited or removed. Starting a processing run reserves the estimated credits, each image is charged as it is processed, and when the job finishes, fails or is cancelled the whole reservation is returned in one entry. The net effect is the work that actually ran. A dry run never moves your balance and never appears in the ledger at all: nothing is reserved, nothing is deducted and nothing is returned. Its work is still recorded against the job itself, which you can open from the project at any time.
Cancelling a job skips its remaining images and returns the unspent reservation, and the response tells you how many credits came back. A line marked refund in your ledger means an unused reservation returned to your balance. It is not a payment refund.
Every charge carries a unique reference, so the same charge can never be applied twice. Each charge also records the job, the image, the attempt number and the operations it paid for, so a past charge can still be explained after prices change. The credit price list in force today is version 2026-09.
Monthly grants, buying credits and plan changes
Each plan comes with a monthly credit grant. The plan record on your account is what governs, and the amount it carries is shown on your billing screen. The figures on our pricing page are indicative, and if they differ from your plan record we will tell you which applies before you pay anything.
Grants are not yet issued automatically each month. Until that is built, a grant is applied when the account is created. If your account is due a grant that has not arrived, email hello@jeani.ai and we will apply it.
Credit packs of 1,000 and 5,000 credits can be bought from the billing screen, and the Starter, Pro and Agency plans can be started, changed or cancelled there. Payments are taken by Stripe; we never see or hold your card details. Credits bought in a pack are added when Stripe confirms the payment, not when you start the purchase. Enterprise is not self-service: contact us and we will make the change, and tell you what happens to your balance before we do.
Credits do not expire today. If we ever introduce an expiry, we will give at least 90 days’ notice before it applies to credits you already hold, and it will not apply at all to credits you bought before that notice. Some older grant records carry an expiry date that nothing acts on; if we ever start honouring expiry dates, we will clear or extend those first, so credits you already hold are not affected by the change.
Plan limits
These caps are enforced when you create a workspace, invite a member, or start a job.
| Plan | Workspaces | Members | Jobs at once |
|---|---|---|---|
| Free | 1 | 1 | 1 |
| Starter | 1 | 3 | 2 |
| Pro | 3 | 10 | 5 |
| Agency | 50 | 50 | 20 |
| Enterprise | 1,000 | 1,000 | 100 |
“Jobs at once” counts the runs you start — processing and dry runs — that are queued or running. Analysis, which we start ourselves when images arrive, does not count against it, and neither does a run you have paused, though resuming one asks for the slot back. When you are at the limit, starting another job is refused and nothing is charged for it.
Plans also show a storage allowance. That one is not enforced at the moment. We will give notice before we start enforcing it, and we will not apply a storage charge to files you uploaded before that notice.
Credits have no cash value
Credits are a prepaid unit of processing. They are not money, they cannot be exchanged for money or transferred to another account, and they are not refundable except where the law requires it, including under the Australian Consumer Law. If we end this agreement for convenience, or you end it because we materially breached it, we refund the value of any unused credits you bought, at the price you paid for them. Section 8 covers refunds of fees you have paid.
4. Your content
You keep ownership of the images and other content you upload. We claim no ownership of them, and none of the outputs Jeani produces from them.
You grant us a worldwide, non-exclusive, royalty-free licence to store, copy, transmit, adapt, modify, create derivative works from, process and display your content, and to sub-license those rights to the hosting, storage and model providers named on the privacy page, for one purpose only: providing the service to you. That includes putting an image through the processing pipeline, generating previews and building the exports you ask for. The licence lasts as long as we hold the content, including in backups until the snapshot holding it rolls off, and we do not use it for anything else.
Originals and versions
An original is written once and never modified. Everything Jeani produces is a new version alongside it, so restoring an image simply re-selects the original. Restoring keeps the generated versions and hides them rather than deleting them.
Your account can carry a retention period after which originals are deleted — 1 to 3,650 days, or unset to keep them. There is no control for it in the app yet: an owner sets it through the API, or you can ask us to set it for you. The automatic deletion sweep is built but is not scheduled yet, so originals are currently kept. Restoring an image depends on us still holding its original.
Outputs are re-encoded from pixels; no input bytes are copied across. Keeping the colour profile is on by default, in a new recipe and in every preset we supply, and it keeps more than the profile: when an output is a straight re-encode of your file, the original’s EXIF, XMP and IPTC come with it. Any step that rebuilds the frame — repositioning the product, changing the canvas, removing or generating a background — drops that metadata before the output is written, so most outputs carry none of it. Turn the colour profile off in the recipe’s output settings and nothing is carried over at all. Orientation is baked into the pixels before the image is sent to an AI provider and before any output is written, so a rotated original never comes back sideways.
What you may upload
Jeani accepts JPEG, PNG, WebP, GIF, TIFF, BMP, AVIF and HEIC, worked out from the contents of the file rather than the type your browser declares. The file also has to carry one of the accepted extensions — a .heif file is refused on its name, so rename it .heic. A file whose contents disagree with its extension is rejected too, and so is anything else.
Current default caps are 50 MB per image, 50,000 files per upload session and an upload session that stays open for 24 hours. A ZIP import may be up to 2 GB compressed, 50,000 entries and 10 GB uncompressed. We may raise these caps at any time. Before we lower one in a way that would materially affect how you use Jeani we will give at least 30 days’ notice by email or in the app, unless we have to act sooner for a legal, security or capacity reason, in which case we will tell you as soon as we can.
Every upload is streamed to a malware scanner before it is processed — the only thing that reads it first is the magic-byte check that confirms the file really is the image type its name claims — and screening is fail-closed: an unreachable scanner fails the file rather than admitting it unscanned. What that means depends on how the file arrives. An entry inside an archive is scanned before it is written to storage, so one that does not clear the scanner never lands there at all. A file uploaded through a signed URL is in storage before we can scan it, so it is accepted first and then deleted and marked failed shortly after it lands, rather than being refused up front. Either way, a file that fails is deleted, the image is marked failed, and we tell you which files were rejected and why. The security page sets out what each path does, and where the limits of this control are.
Your promises about content
You promise that, for everything you upload:
- you own it or have the rights and permissions needed to use it through Jeani;
- processing it and receiving the outputs will not infringe anyone else, including copyright, trade marks, and the rights people have in their own image; and
- it is lawful.
You must not use Jeani to process:
- sexual content involving children, or any content that is illegal to hold or share;
- content that infringes someone else, or that impersonates a person or brand in a way that would mislead;
- content intended to deceive, such as images made to misrepresent a product to buyers; or
- anything you are not allowed to upload under a law that applies to you.
We do not screen content for subject matter. Uploads are checked for file type, size and malware, and nothing more. If we become aware of content that breaks these rules we may remove it or stop processing it, and we will tell you when we do unless the law prevents us.
5. AI-generated outputs
Generated and enhanced images are provided as they are. Automated image work is not exact, and two runs of the same recipe can differ. Review outputs before you publish them or write them back to a store. You are responsible for what you publish.
To the extent we hold any rights in an output Jeani produces from your content, we assign them to you as each output is created. Automated work may not attract copyright at all, and we do not warrant that it does or that you can stop someone else using something similar. Outputs are not exclusive: the same recipe run on a similar image can produce a similar result, and we may produce similar outputs for other customers.
Every result is scored against its original by the inspection step. That score is a tool for finding the images worth a second look. It is not a guarantee that an image is correct, accurate to the product, or fit for a particular listing.
Images that are still doubtful after the last attempt are held for you in a review queue. Approving, retrying or restoring them is your decision, and Jeani does not make it for you.
Generated scenes can contain elements you do not have the right to publish, such as a brand or logo that appears in a background. Check a generated image before it goes out.
We warrant that we do not use your content — your images, the outputs made from them, or our analysis of them — to train models, ours or anyone else’s, and that we will not enable an outside model provider unless its terms forbid training on what we send it. This warranty covers all of your content, not only the parts that are personal information.
Today no outside model provider receives your images at all: production runs the built-in provider on our own server. If we ever enable an outside provider, your images will be sent to it only to run the operation you asked for, and the privacy page will name it and say what it receives.
6. API and integrations
Keys
API keys are issued in the app by an admin or an owner. A key is shown once at creation and never again, because only a hash and a short prefix are stored. Every key issued on jeani.ai starts with pia_live_.
A key carries one or more of four scopes — read, review, write and admin — and gets write if you do not choose. Its reach is that of the widest scope it holds. A key acts on behalf of the account, with that reach across every workspace in the account. It is not limited to one workspace, so treat a key as an account-wide credential. A key with write or admin scope can start jobs. A processing run spends credits; a dry run does not.
A key can be given an expiry, and can be revoked at any time. Revocation takes effect immediately and cannot be undone. Creating and revoking keys is recorded in your audit log and emailed to the person who did it.
Fair use
The API is rate limited per minute, counted against your API key or, when there is no key, your IP address. The current defaults are 300 requests a minute overall and 10 a minute on sign-in endpoints. The health and readiness endpoints are exempt.
Rate limits are there to protect the service from abuse, not to meter your usage, and we may change them to protect the service. Where a change would materially reduce the throughput you rely on and is not a response to abuse, an incident or a capacity constraint, we will give at least 30 days’ notice.
Do not try to get around rate limits or plan caps, do not run load or penetration tests against the service except as the safe harbour on the security page authorises or after asking us first, and do not use the API in a way that degrades it for anyone else. Security research that stays inside that safe harbour is authorised in advance and you do not need to write to us before you start; load, denial-of-service and brute-force testing stays outside it. We may revoke a key that is being abused, that has been exposed, or that is putting the service at risk. Where we can, we will tell you first.
Integrations
Jeani can connect to Shopify, WooCommerce, Shopware and Magento, and to Amazon S3, SFTP and Google Drive. Connection credentials are encrypted before they are stored. You promise you are entitled to connect the store or storage account you connect, and to read and write the images in it. What Jeani does with a connection is what you configure it to do.
7. Availability and changes
We work to keep Jeani running, but we do not promise an uptime figure and there is no service level agreement. The service can be unavailable for maintenance, for a fault, or because something we depend on is down.
The status page reports whether the API, the database and the job queue are reachable right now. The security page covers how the service is built and protected.
We will keep improving Jeani, which means features change. We may add, alter or withdraw them. If we materially reduce a feature you rely on, we will give you at least 30 days’ notice by email or in the app, unless we have to act sooner for a legal or security reason.
If a change materially reduces the service for you, you may end this agreement by telling us before the change takes effect, and we will refund the unused part of any period you have paid for and the value of any unused credits you bought.
Planned, not built. Buying credits, automatic monthly credit grants, self-service plan changes, self-service account deletion, pausing a job when credits run out, and the automatic deletion of originals after a retention period are all planned. None of them work today. We are not promising a date for any of them, and you should not sign up on the basis that one is coming.
8. Fees, taxes and payment
The Free plan costs nothing. Paid plans are arranged with us directly. There is no payment provider connected to Jeani, so nothing is charged to a card and we do not hold your card details. The billing cycle and the payment terms for a paid plan are the ones set out in the arrangement we agree with you in writing.
Our prices are in United States dollars, and US dollars are the contractual currency. Every plan price and every credit price we publish is a US dollar amount, and that amount is what you owe. Our pricing page and your billing screen can show the same price converted to Australian dollars: that figure is an approximate conversion at a single rate we set by hand and review from time to time, so it does not track the market rate and can be out of date, and it is not a price we are bound to. The rate we converted at is shown with the converted figure. Where an Australian dollar figure and the US dollar price differ, the US dollar price is the one that applies. If we agree in writing to invoice you in another currency, that written arrangement governs instead.
Unless we say otherwise, prices exclude GST and any other tax or duty. Where we are registered for GST and GST applies to a supply we make to you, we add it on top of the price and give you a tax invoice. Australian GST is assessed in Australian dollars, so where our price is in US dollars the tax invoice states the GST amount in Australian dollars, converted from the US dollar price at the Reserve Bank of Australia rate published on the day we issue the invoice. That conversion is for the tax line only. It is not the indicative rate shown on our pricing page, and it does not change the US dollar amount you owe.
You must pay invoices in full, in the currency shown on the invoice, without set-off or deduction. If a law requires you to withhold an amount from a payment to us, you must increase the payment so that we receive the amount we would have received had no withholding applied. Any VAT, GST or similar tax imposed in your own country on a supply we make to you is yours to account for and pay.
Invoices are payable within 14 days unless your arrangement says otherwise. If an invoice is overdue we will contact you first; section 9 covers what happens if it stays unpaid.
We may change plan prices and credit prices. We will give at least 30 days’ notice by email before a change takes effect, and a change never applies to a job that has already started. Each charge records the job, the image, the attempt and the operations it paid for, so a charge made before a price change can still be explained afterwards.
Fees already paid are not refundable except where the law requires it, or where we terminate your account without cause. In that case we refund the unused part of any period you have paid for.
9. Suspension and termination
Closing your account
You can stop using Jeani at any time. There is no self-service delete button, and no automated close: email hello@jeani.ai from the owner address and we will close the account by hand. Once it is closed, nobody can sign in to it and no API key on it will work.
If we close or suspend your account, you will not be able to sign in to it. There is no read-only mode: closing an account stops everyone signing in to it. Nothing is deleted for 30 days, though, so if you no longer have access you can ask us within that window and we will assemble a complete export by hand and deliver it to you — unless the law or an immediate risk to the service or to other customers prevents that.
Whoever closes the account, we delete nothing for 30 days, so you can still ask us for a copy. We delete your content from the live system within 30 days of your written request, or within 30 days of the end of that window — earlier if you tell us you have what you need. That means the image files and their earlier versions in object storage, and the account and content records in the database. We do it by hand, because the automatic deletion job is not built, which is why it takes up to 30 days rather than minutes. We confirm in writing when it is done, and keep only what a law requires us to keep, plus the records named in the data processing agreement. Backups roll on a daily, weekly and monthly schedule, so a copy of database records can sit in an encrypted backup for up to about twelve months until the snapshot holding it rolls off; we do not use backups to bring deleted data back.
Take your data with you first
Export before you close. You can export each project as a ZIP, with a manifest listing every file, its path, its version and its checksum, and you can download any single original or output. An export can be downloaded for seven days after it is created, and each download link is signed and short-lived.
Your credit ledger and your audit log can be downloaded as CSV from the app — the ledger export covers the most recent 200 entries and the audit export the most recent 5,000. For the full history, or for anything those exports miss, use a read-scoped API key or ask us.
Unused credits are not refunded when you close your account yourself, and they have no cash value. Where we end the agreement for convenience, or you end it for our material breach, we refund the value of any unused credits you bought. See section 3.
Ending it without fault
Either of us may end this agreement for convenience on 30 days’ written notice. Either of us may end it immediately if the other materially breaches these terms and does not fix the breach within 14 days of being told about it. If we end it for convenience, or you end it for our material breach, we refund the unused part of any period you have paid for and the value of any unused credits you bought.
Suspension and termination by us
We may suspend or close an account if:
- these terms are breached and the breach is not fixed within 14 days of us asking;
- an invoice is still unpaid 14 days after we send a written reminder, and the amount is not genuinely disputed;
- the account is being used unlawfully, or in a way that puts the service or other customers at risk; or
- we are required to by law.
Where the risk is immediate we may suspend first and explain afterwards. There is no separate suspended state in the product: we suspend by hand, the same way we close an account, so a suspension stops sign-in and stops processing. It does not delete your content, and we will restore access once the reason for the suspension is resolved.
10. Intellectual property and feedback
We own Jeani: the software, the pipeline, the recipes we supply, the site and everything in it apart from your content. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is open. Nothing else is transferred.
Do not copy the service or pass on your right to use it, except that you may use Jeani to process images for your own clients in a workspace you control. When you do, you remain the customer under these terms, you are responsible for what your client does through that workspace, and your promises in section 4 cover the images you process for them. You may not resell access to the service itself, and you may not let a client use your account instead of opening their own.
Do not reverse engineer the service, except where the law says you may. Do not use our name or branding without permission.
If you send us feedback, ideas or bug reports, we may use them to improve Jeani with no obligation to you and no payment. You keep any rights you already had; you are not giving us your intellectual property, only the freedom to act on what you told us.
11. Warranties and Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. If a provision of these terms would do that, it does not apply to that extent.
Subject to that, and to the maximum extent the law allows, we exclude every term, condition, warranty and guarantee that would otherwise be implied into this agreement by statute, common law, custom or trade usage. Jeani is provided as it is. We do not warrant that the service will be uninterrupted or error free, that every output will meet your requirements, or that inspection will catch every problem in an image.
Where the Australian Consumer Law applies to a supply we make to you and that supply is not of a kind ordinarily acquired for personal, domestic or household use, our liability for failing to comply with a consumer guarantee is limited, so far as the law permits, to resupplying the service or paying the cost of having it resupplied.
12. Limitation of liability
Neither of us is liable to the other for indirect or consequential loss, or for lost profits, lost revenue, lost savings, lost goodwill or loss of data, however it arises. The data processing agreement disapplies the loss-of-data exclusion for claims made under it.
Our total liability to you for all claims arising out of or in connection with these terms or the service, in contract, tort including negligence, statute or otherwise, is limited to the greater of US$1,000 and the fees you paid us in the 12 months before the event giving rise to the claim. Both figures are in US dollars, the contractual currency under section 8.
Neither limit applies to liability that cannot be limited by law, including under the Australian Consumer Law, or to liability for fraud, or for death or personal injury caused by negligence.
Each of us must take reasonable steps to reduce its loss. Our liability is reduced to the extent your act or omission caused the loss.
13. Indemnity
If you use Jeani for a business, you indemnify us against loss, damage, cost and expense we reasonably incur from a third-party claim arising out of:
- your content, including a claim that it infringes someone or is unlawful;
- your use of the outputs, including where you publish them; or
- your breach of these terms, including misuse of the API.
Your indemnity is reduced to the extent our breach of these terms or our negligence caused or contributed to the loss, and it does not cover indirect or consequential loss. It does not apply to security research that stays inside the safe harbour on the security page: we have authorised that research in advance and do not treat it as a breach of these terms.
For that indemnity to apply we must tell you about the claim promptly, let you conduct the defence and settlement, and give you reasonable help at your cost. We may take part in the defence with our own lawyers at our own cost. You will not settle a claim in a way that admits liability on our part, imposes an obligation on us, or requires us to pay anything, without our consent, and we will not settle a claim in a way that admits liability for you without yours.
14. Privacy and data processing
The privacy page explains what personal information we collect, what we do with it and who else touches it.
Where your content contains personal information about other people, you decide why and how it is processed and we process it for you, on your instructions, to run the service. The data processing agreement sets out those terms and forms part of this agreement.
You are responsible for having a lawful basis to upload the personal information in your content, including images of people, and for any notices or consents that basis requires.
15. Confidentiality
Each of us may learn non-public information about the other. Neither of us will disclose it, or use it for anything other than this agreement, without the other agreeing first.
Your content and your catalogue data are your confidential information. We disclose them only to the extent needed to run the service, or where the law requires it, in which case we will tell you unless we are prohibited from doing so.
This does not cover information that is public through no fault of the person receiving it, that they already had, or that they developed independently.
16. Changes to these terms
We may update these terms. The current version and its date are at the top of this page, and the version in force is always the one published here.
For a change that materially affects your rights, we will give at least 30 days’ notice by email or in the app before it takes effect, unless a legal or security reason means we have to act sooner. Continuing to use Jeani after a change takes effect means you accept it. If you do not accept a change, end this agreement before it takes effect: we will refund the unused part of any period you have paid for and the value of any unused credits you bought, and we will remove your content if you ask.
17. Governing law and disputes
These terms are governed by the law of New South Wales, Australia. Both of us submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts that hear appeals from them.
Talk to us first. Email hello@jeani.ai setting out the problem and what you want done. We will respond within 10 business days and both of us will try in good faith to resolve it. Neither of us starts proceedings about a dispute until 30 days after that email, except to seek urgent relief from a court.
Nothing here affects your right to complain to a regulator, including the Australian Competition and Consumer Commission.
18. Contact, notices and general
Jeani is operated by Jeani AI, ABN 72 238 565 706, in Australia. Reach us at hello@jeani.ai. That address is also where notices under these terms should go.
A notice of suspension, termination or a change to these terms must be in writing. We send ours to the email address on your account, so keep it current, and you send yours to hello@jeani.ai. A notice by email is taken to be received on the next business day after it is sent. A business day is a day other than a Saturday, Sunday or public holiday in Sydney, New South Wales.
These terms, the data processing agreement, the privacy page and any written arrangement we sign with you are the whole agreement about the service and replace anything said or written before. Where they conflict, a signed arrangement comes first, then the data processing agreement on anything to do with personal information, then these terms. Prices, credit allowances and plan features shown on our public pages are indicative; the figures that apply to your account are the ones on your billing screen and in your written arrangement. Wherever a figure is shown in Australian dollars — on a public page or on your billing screen — it is only an approximate conversion of the US dollar price and is marked as approximate; the US dollar figure is the one that applies, as section 8 explains. Nothing in this clause limits our responsibility for anything we have told you that turns out to be misleading — the Australian Consumer Law does not allow that, and we do not try to.
Neither of us is responsible for a failure to perform, other than a failure to pay, that is caused by something outside its reasonable control — including an outage at a hosting, storage, network or model provider, a natural disaster, an act of government, or industrial action. The affected party must tell the other as soon as it can and do what it reasonably can to work around it. If the event lasts more than 30 days, either of us may end this agreement and we will refund the unused part of any period you have paid for.
Sections 3 (credits have no cash value), 4 (your promises about content), 10, 11, 12, 13, 15, 17 and 18 survive the end of this agreement, along with any amount already owing.
If part of these terms is unenforceable, the rest keeps working. Failing to enforce a term is not a waiver of it. Neither of us may transfer this agreement without the other’s consent, which must not be unreasonably withheld or delayed. Either of us may transfer it on notice and without consent to a related entity under common ownership or control, or to a buyer of the business it relates to.
